Naming your Florida LLC

If the status is Active (ACT) or Inactive/UA, you cannot use the name. The names listed as Inactive/UA status come from dissolved LLCs. These names are not usable for 120 days (after a voluntary dissolution) or one year (after an administrative dissolution). If the status shows as Inactive (INACT), you can use the name.

When you find an available name that you like, if you are not yet ready to form your LLC, you may place a temporary hold on the name by making a name reservation. This reservation holds the name for your new LLC’s use for 120 days. The name reservation fee is $25.

Some companies wish to use a name different from their legal name to operate their business to form their LLC in Florida. To run your LLC using a different name, you must file a fictitious business name statement, also known as “doing business as” (DBA).

The first step is to look up the DBA name you want to use with the fictitious business name search tool.

Once you find a fictitious business name that you like that is available, you pay a fee to register it in association with your LLC. The registration fee is $50. This registration is valid for five years and expires on December 31 of the final year.

You must also publish a public notice of your DBA in a newspaper in each county you wish to operate using the DBA.

Getting a certified copy of your fictitious business name registration is optional and costs $30. Obtaining a certificate of the status of your fictitious business name registration is optional and costs $10.

You can renew the registration online or by mail for $50.

Filing your articles of organization

To form your LLC in Florida, you file your articles of organization for the cost of $100. Your required registered agent fee is $25, for a total of $125.

If you want to have an optional certified copy of your articles of organization filing, the fee is $30.

An optional certificate of status for an LLC is $5. In other states, this is sometimes called a “certificate in good standing.”

Appointing a registered agent

If you, as an individual, serve as the registered agent for your LLC, this is free. You must be at least 18 years old and a resident of Florida to serve as a registered agent.
